TERMS FOR PAY LATER BY GRANARY (“Terms”)

By agreeing to these Terms, Granary Wholesale Private Limited, company incorporated under the laws of India and having its registered office at 43/61, 1st Floor, Surveyor’s Street, Basavanagudi, Bangalore, Karnataka (hereinafter referred to as “Seller” or "we”, “our”, “us”), in its sole discretion, grants to you a trade credit / deferred payment option at the time of your purchase of products from us while making a purchase from us using the website (www.udaanmandi.com) and mobile application thereto (collectively referred to as “Platform”). For the sake of reference, the terms you, your, or buyer shall refer to the registered buyer(s) on the Platform that makes or intends to make a purchase of products from the Seller using the Platform.

Upon activating the ‘Paylater by Granary’, you agree to be bound by these Terms and policies that are communicated to you by us and any further modifications, amendments or updates made to these Terms. If you do not agree to these Terms or any modifications or changes thereof, please do not activate or use ‘Paylater by Granary’.

1. TERMS APPLICABLE TO YOUR USE OF PAYLATER BY GRANARY:

1. Upon activation, we will allow you to purchase the products from us and grant you trade credit for the invoice amount for the orders you place/ products you purchase from us that are payable by you and such other ancillary charges. In simple terms, you will be required to pay for the products purchased by you on or before the due date mentioned on the invoice issued to you or communicated to you by other modes which we may deem fit.

2. We will allow you to purchase products on trade credit for up to a maximum permissible limit ("Maximum Limit"). It is hereby clarified that the Maximum Limit includes the value of the products purchased and such other ancillary charges that are due to be paid or payable by you. The Maximum Limit will be displayed on the Platform or otherwise communicated to you by us. We reserve the right to cancel your order in case you exceed the Maximum Limit.

3. For avoidance of any doubts, it is clarified that your acceptance to these Terms does not obligate us to grant trade credit to you and such grant of trade credit for any of the orders placed by you shall be in our sole and absolute discretion. You agree and confirm that we shall not be liable in any manner whatsoever in case we deny giving trade credit to you for any of your orders placed with us.

4. You shall be required to pay to us on or before the due date of payment as mentioned on the invoice using any of the mode of payment that are acceptable to us. In the event of any failure on your part to pay on or before the due date of payment of the invoice, we in our absolute discretion, reserve the right to charge late payment charges or default interest as mentioned on the invoice or communicated to you using modes of communication as we may deem fit.

5. Any subsequent orders placed by you upon activation of ‘Paylater by Granary’ will be fulfilled by us subject to these Terms.

1. PAYMENT TERMS AND TAXES

1. The invoice shall be raised in accordance with the provisions of the central, state/ union territory, integrated Goods & Services Tax Act, 2017 and rules thereunder, as amended from time to time.

2. Goods and Services Tax on the value of supply shall be calculated as per the rates applicable

3. It shall be your responsibility to pay us the invoice amount for the relevant order / products delivered to you on or before the due date and check the due date for the invoices for each of the orders, from time to time. We will not send you any reminders or intimation informing you or reminding you of the payments to be made on or before the due date.

4. You shall be bound to the provisions of these Terms until the time you pay the total amount due (including without limitation late payment charges or default interest or other charges, costs or expenses that may become payable by you) for all the orders/ products for which you have chosen ‘Paylater by Granary’ as the mode of payment.

5. If in case you fail to make the payment on or before the due date of the invoice for the order(s) placed by you pursuant to these terms, we reserve the right to suspend, with or without notice to you, the grant of credit period to your subsequent order(s) in our sole discretion. Upon such suspension, amount payable by you for all your orders (wherein credit period has been granted) shall become payable immediately, irrespective of any due date that may have been communicated by us previously.

2. RETURNS

1. In case of any return of products that are delivered to you, if such return request is accepted by us for the complete order, amount shall be refunded or adjusted against the subsequent payables. . In case of acceptance of partial return of products by us, the invoice value payable by you, will stand adjusted and be equivalent to the value of products that have been delivered to you and the differential amount against the relevant invoice shall be refunded.

3. LIMITATION OF LIABILITY

1. To the maximum extent permitted by law, we hereby expressly disclaim any and all liabilities and/or warranties, express or implied with regard to the services mentioned above. Our aggregate liability for any claims that may arise in connection with these Terms shall not exceed an amount of INR 1000/-.

2. Under no circumstances will we be liable for any consequential, incidental, special, exemplary or punitive damages, including but not limited to any lost profits that result from these terms or any services availed, even if we have been advised of the possibility of such damages.

4. MISCELLANEOUS

1. We further reserve the right to take appropriate legal action against you to recover the outstanding amounts including invoice amounts, late payment charges or default interest or any other costs, charges and expenses that remains due and payable by you beyond the due dates.

2. Any misbehaviour, unprofessional conduct, verbal and physical abuse from your end is prohibited and will be considered as a violation of these Terms and we reserve the right to take appropriate action against you in this regard, including but not limited to cancelling requests for subsequent orders from you.

3. If the performance of our obligations, in our reasonable opinion is or is likely to be affected by any hindrance, risk, delay, difficulty, or disadvantage whatsoever and which cannot be avoided by our reasonable endeavours, we may, on giving notice in writing to you or without notice where it is not reasonably possible to give such notice, place the order/ shipment or any part of them at any place which we may deem safe and convenient.

4. Notwithstanding the provisions of these Terms, we may at any time, with or without notice to you, reserve our right to withdraw, terminate, and/or suspend the grant of Paylater by Granary to you. We may further terminate or revoke the grant of trade credit to you if in our reasonable opinion you are in breach of the provisions as set forth under these terms. In the event of such withdrawal, termination, revocation or suspension under this clause, the amount payable by you for all the orders placed by you (for which we have granted trade credit) including but not limited to late payment charges or default interest or such other costs, charges, and expenses shall become due and payable immediately and you shall be liable to pay the entire amount forthwith by such mode of payment as may be acceptable to us.

5. We shall have the right to modify, suspend, amend or add additional terms that are applicable to you in our sole discretion and communicate the same to you via such modes of communication as we may deem fit in our discretion.

6. We shall not be liable for any loss or damage caused to you due to act of god, governmental actions, or other force majeure circumstances that are beyond our reasonable control and shall not be liable to pay any amount as compensation or otherwise for any such loss.

7. All communications or notices shall be sent to us on the address mentioned above and the same may be sent to us via email, registered post or courier. We may send you any communications or notices (including but not limited to marketing or promotional messages, transactional messages etc.) through the Platform or through SMSes, whatsapp, telephone, email, registered post or courier or such other mode as we may deem fit. You hereby consent to our sending you all such communications or notices using the aforementioned modes.

8. All disputes relating to the terms shall be subject to the exclusive jurisdiction of courts at Bangalore only.

9. If you wish to discontinue your use of PayLater by Granary, you may write to us 43/61, 1st Floor, Surveyor’s Street, Basavanagudi, Bangalore, Karnataka. For any issues which you may have with respect to PayLater by Granary, you may raise your concerns or issues at the above address.
